General terms and conditions - Presentation Lab
Presentation Lab is a division of RS Communication bv
1. Scope
- These general terms and conditions apply to all quotations, assignments and services of Presentation Lab, a division of RS Communication bv.
- The services include, among others: trainings, courses, coaching, presentation design, branding and graphic design for professional clients (B2B).
- Any terms and conditions of the client are only valid if they have been expressly accepted in advance and in writing by Presentation Lab.
2. Services
- Presentation Lab levert diensten rond presentaties en visuele communicatie: het voorbereiden en geven van trainingen/opleidingen, individuele coaching, het uitwerken en ontwerpen van presentaties en aanverwante grafische en branding-opdrachten.
- De inhoud, aanpak en planning van de diensten worden beschreven in de offerte of opdrachtbevestiging.
3. Cancellation and rescheduling by the client (trainings & coaching)
- Cancellation or rescheduling by the client must always be made in writing (reinhilde@presentationlab.be). The date on which the e-mail is received determines the applicable deadline.
- More than 14 calendar days before the start date:
- rescheduling to another date is free of charge, in consultation with Presentation Lab;
- replacement by a colleague/participant from the same organisation is free of charge;
- in case of final cancellation: a cancellation fee of 40% of the agreed total price for the booked day(s) is due, with a minimum of €400.
- Within 14 calendar days before the start date:
- the full participation fee for the booked training/coaching is due;
- replacement by a colleague/participant from the same organisation is allowed at no extra cost;
- rebooking to another date is possible; additional administrative time and any extra preparation time will be charged at €90/hour (excl. VAT).
- For programmes with multiple sessions, the start date of the first session is the reference date, unless stated otherwise in the quotation.
- Any external costs already incurred (e.g. venue hire, catering, equipment rental) that cannot be cancelled free of charge will always be passed on in full.
4. Cancellation or changes by Presentation Lab – force majeure
- Presentation Lab may postpone or cancel a training, coaching or assignment in case of force majeure or when execution is reasonably no longer possible (e.g. illness, accident, serious family circumstances, power or internet outage, pandemic measures).
- In that case, a new date will be agreed with the client. If rescheduling is not desirable or not possible, any amounts already paid for the non-executed part of the assignment will be refunded.
- Apart from refunding amounts already received, Presentation Lab is not liable for any additional damage or costs (such as travel or accommodation costs, loss of revenue, internal planning).
5. Obligation of means and liability
- Presentation Lab voert haar diensten uit naar best inzicht en vermogen, maar verleent geen garantie op een specifiek resultaat (bijvoorbeeld verkoopcijfers, beslissingen van derden, evaluaties van deelnemers).
- Presentation Lab is niet aansprakelijk voor indirecte of gevolgschade, zoals winstderving, gemiste kansen of reputatieschade.
- De eventuele rechtstreekse aansprakelijkheid van Presentation Lab is in alle gevallen beperkt tot het bedrag van de gefactureerde en door de klant betaalde diensten voor het project waarop de klacht betrekking heeft.
6. Intellectual property
- All intellectual property rights to materials developed or used by Presentation Lab – including but not limited to training content, methods, slides, hand-outs, workbooks, templates, checklists, designs, tailor-made presentations and the presentation toolkit – remain the exclusive property of Presentation Lab.
- The client and the individual participants receive a non-exclusive, non-transferable right to use these materials. This right of use applies only to the person or organisation that has paid for the training or service, and exclusively for their own professional use.
- It is not allowed to:
- copy or reproduce these materials in whole or in part;
- forward them or share them with non-participants;
- publish them internally or externally (online or offline);
- use them as a basis for your own trainings, courses or commercial products;
unless with prior written permission from Presentation Lab.
7. Payment
- Invoices are payable within 10 days after the sending date, unless agreed otherwise in writing. Presentation Lab may issue an advance invoice or request (partial) prepayment.
- In case of late payment, the following are due automatically and without prior notice of default: late payment interest of 1% per started month on the outstanding amount, and a lump-sum compensation of 10% on the outstanding invoice amount, with a minimum of €75.
- If payment remains outstanding, Presentation Lab may suspend ongoing assignments or refuse further services until full payment has been made.
8. Confidentiality
- Presentation Lab and the client treat all confidential information about each other’s organisation, projects and content with discretion and only use it for the execution of the assignment, unless a legal obligation requires otherwise.
9. Privacy and GDPR
- Presentation Lab processes personal data (such as name, position, e-mail address and feedback) only for quotations, planning and delivery of services, in accordance with GDPR/AVG.
- Data are not sold and are only shared with third parties if this is necessary for the assignment (e.g. accounting, IT tools) or required by law.
- Data subjects have the right to access and correct their data and, within the statutory retention periods, to have their data deleted.
10. Disputes
- Belgian law applies to all agreements with Presentation Lab.
- Disputes will first be handled with the aim of reaching an amicable settlement. If no agreement can be found, only the courts of Mechelen are competent.
